MEMBERSHIP PROVISIONS OF THE BYLAWS OF ALGERIA WATCH INTERNATIONAL

ARTICLE 10 MEMBERS

SECTION 1. DETERMINATION AND RIGHTS OF MEMBERS

The corporation shall have only one class of members. No member shall hold more than one membership in the corporation. Except as expressly provided in or authorized by the Articles of Incorporation, the Bylaws of this corporation, or provisions of law, all memberships shall have the same rights, privileges, restrictions and conditions.

SECTION 2. ADMISSION OF MEMBERS


Applicants must fill the Algeria Watch International application form and must submit the form to Algeria Watch International’s General Manager.
The applicant will receive notification of approval or rejection from the General Manager.

All applications must be advertised by the General Manager via e-mail to the general membership of Algeria Watch International.

If within 48hrs of posting the application ten (10) AWI members oppose the membership application, a vote is held to determine whether or not to admit the applicant.  The voting must be held no later than three working days after the initial 48 hrs are over.  The voting period is 24hrs.  The votes are tallied by the General Manager and announced within the 24hrs following the close of the vote.  If the number of votes accepting the application is greater than or equal to the number of votes rejecting the application, the applicant is admitted.  Otherwise, the applicant is rejected.

SECTION 3. FEES AND DUES

No fees or dues need to be paid by members of Algeria Watch International.

SECTION 4. NUMBER OF MEMBERS

There is no limit on the number of members the corporation may admit.

SECTION 5. MEMBERSHIP BOOK

The corporation shall keep a membership book containing the name and address of each member. Termination of the membership of any member shall be recorded in the book, together with the date of termination of such membership.

SECTION 6. NONLIABILITY OF MEMBERS

A member of this corporation is not, as such, personally liable for the debts, liabilities, or obligations of the corporation.

SECTION 7. NONTRANSFERABILITY OF MEMBERSHIPS

No member may transfer a membership or any right arising therefrom. All rights of membership cease upon the member's death.

SECTION 8. TERMINATION OF MEMBERSHIP

The membership of a member shall terminate upon the occurrence of any of the following events:
(1) Upon his or her notice of such termination delivered to the General Manager of the corporation personally or by mail, such membership to terminate upon the date of delivery of the notice or date of deposit in the mail.
(2) After providing the member with reasonable written notice and an opportunity to be heard either orally or in writing, upon a determination by the Board of Directors that the member has engaged in conduct materially and seriously prejudicial to the interests or purposes of the corporation.
All rights of a member in the corporation shall cease on termination of membership as herein provided.

ARTICLE 11 VOTING RIGHTS

Each member is entitled to one vote on each matter submitted to a vote by the members. Voting for by-laws or in opposition to membership application shall be conducted by electronic mail. Election of Directors, however, shall be by written ballot.
